Thank you for using Frontcover. These Terms of Service (Terms) form a legally binding agreement between Frontcover Group Pty Ltd (ABN 20 671 187 321) (Frontcover, we, our, us) and any person or entity that uses our website, apps or related services at frontcover.io (collectively, the Services). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
Australian Consumer Law (ACL) notice: Nothing in these Terms excludes, restricts or modifies any consumer guarantees, rights or remedies you may have under the Competition and Consumer Act 2010 (Cth) (including the ACL) that cannot be excluded, restricted or modified by agreement.
1. About Frontcover and our role
1.1 Venue and service provider. Frontcover provides technology that enables individuals, groups and organisations (each a Community) to create profiles, sell memberships, items, experiences and services (collectively, Merchandise), and engage with their members (Members).
1.2 Not a party to Community–Member transactions. Unless we expressly state otherwise in writing, we are not a seller or buyer of Merchandise and are not a party to contracts between Communities and Members. We do not take title to Merchandise and do not guarantee that transactions will complete.
1.3 No verification guarantee. We do not guarantee the identity, age, or nationality of users. Communities are responsible for their listings and compliance with law; Members are responsible for their purchases and compliance with law.
1.4 Member Card programs (separate terms). If you are an organisation (for example, a club or association) running a Frontcover Member Card program for your members, additional terms apply. Your commercial/operational relationship with us for that program is governed by the Frontcover Member Card — Client Program Terms (Australia). The card product itself is issued by a third party and is governed by that issuer’s Product Disclosure Statement (PDS) and Card Terms & Conditions. This ToS does not govern the card product.
2. Eligibility and accounts
2.1 Minimum age. You must be at least 18 years old to use the Services. If you access the Services on behalf of an organisation, you warrant you have authority to bind that organisation.
2.2 Account security. You are responsible for all activity that occurs under your account. Keep your credentials secure and notify us promptly of any unauthorised use.
2.3 Accurate information. Information you provide to us must be true, accurate, current and complete, and you must keep it up to date.
3. Your content and conduct
3.1 Your Content. You are solely responsible for any data, text, images, audio, video, profiles, listings, links and other material you submit, post or display via the Services (Your Content). You grant Frontcover a worldwide, non‑exclusive, royalty‑free, transferable and sub‑licensable licence to host, use, reproduce, modify, communicate and display Your Content as reasonably necessary to operate, improve and promote the Services. Our use of personal information is governed by our Privacy Policy.
3.2 Prohibited content and activities. You must not, and must not permit anyone else to:
post false, misleading, deceptive, defamatory, obscene, harassing or otherwise unlawful content;
infringe the intellectual property, privacy or other rights of any person;
sell or promote illegal, counterfeit, stolen, recalled, hazardous or otherwise prohibited goods or services;
impersonate any person or misrepresent your affiliation;
upload or transmit malware, malicious code or anything that may damage or interfere with the Services;
use the Services to host images or files unrelated to a genuine listing;
circumvent, modify or hack the Services or falsely imply association with Frontcover;
create liability for Frontcover or cause us to lose the services of our suppliers or partners; or
breach these Terms, our policies or any applicable law (including export controls, privacy, consumer, anti‑discrimination and fair trading laws).
3.3 Removal and cooperation. We may remove or disable access to any content and cooperate with law enforcement where we believe a breach has occurred.
4. Listings, fees and payments (Communities)
4.1 Responsibility for listings. Communities are responsible for the accuracy, pricing, legality and fulfilment of their listings and for all interactions with Members.
4.2 Taxes. Communities are solely responsible for determining, collecting, reporting and remitting any taxes, duties, levies or charges that apply to their use of the Services and sales made to Members.
4.3 Fees and charges. We may charge fees for certain Services. Fees and applicable taxes will be disclosed before you incur them and are non‑refundable except as required by law or expressly stated by us.
5. Community Offers and performance of Services
5.1 Critical conditions. If a Community Offer specifies critical conditions for Services (for example, posting within a specified timeframe or format), failure to meet those conditions may result in non‑payment for those Services.
5.2 Completion required. Failure to perform all Services and requirements for a Community Offer may result in forfeiture of payment and/or removal from the Services.
6. Monitoring, suspension and termination
6.1 Monitoring. We may monitor activity on the Services to maintain security, integrity and compliance with these Terms and our policies.
6.2 Suspension/termination. We may suspend or terminate access to all or part of the Services at any time where we reasonably believe there is a breach of these Terms, suspicious or abusive activity, or where required to protect our users, partners or reputation.
6.3 Effect of termination. On termination, your right to use the Services ceases immediately. Certain provisions survive termination, including those dealing with intellectual property, disclaimers, liability, indemnities and governing law.
7. Intellectual property
7.1 Our IP. Frontcover and its licensors own all intellectual property in the Services, including logos, branding, software and content (excluding Your Content). You must not copy, modify, distribute, sell or lease any part of the Services unless we give you written permission.
7.2 Feedback. If you provide suggestions or feedback, you grant us a non‑exclusive, royalty‑free, perpetual licence to use such feedback for any purpose.
8. Privacy
Your personal information is handled in accordance with our Privacy Policy (link available on our website). By using the Services, you consent to the collection, use and disclosure of your personal information as described there.
9. Third‑party services
The Services may link to, integrate with or depend on third‑party products or services. We are not responsible for third‑party services and do not endorse them. Your use of third‑party services is at your own risk and may be subject to separate terms.
10. Changes to the Services or Terms
10.1 Service changes. We may introduce, change or discontinue features at any time.
10.2 Terms updates. We may update these Terms from time to time. If we make material changes, we will notify you by posting on our website, in‑product notice, or email. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
11. Warranties and disclaimers
11.1 As‑is basis. To the extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted, timely, secure, error‑free, or that content will be accurate or reliable.
11.2 ACL preserves. If you are a consumer or small business to whom the ACL applies, you have certain rights which cannot be excluded. Where we are permitted to limit a remedy for a breach of a non‑excludable guarantee, our liability is limited, at our option, to resupplying the Services or paying the cost of having the Services resupplied.
12. Liability and indemnity
12.1 Limitation of liability (to the extent permitted by law). To the maximum extent permitted by law, Frontcover and our affiliates will not be liable for any indirect, incidental, special, consequential or exemplary loss, including loss of profits, data, goodwill, or business interruption.
12.2 Aggregate cap. Subject to section 11.2, and to the extent liability is not otherwise excluded, our aggregate liability arising out of or in connection with the Services or these Terms is capped at the greater of: (a) AUD $1,000; or (b) the fees you paid to us for the Services in the 12 months before the event giving rise to the liability. This cap does not apply to liability that cannot be limited under the ACL.
12.3 Indemnity. You indemnify Frontcover and our affiliates against losses, damages, costs and expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your breach of these Terms or applicable law; or (c) your interactions with other users, except to the extent caused by our negligence, fraud or wilful misconduct.
13. Force majeure
If a party is prevented from or delayed in performing its obligations by a cause beyond its reasonable control (including acts of God, war, terrorism, labour disputes, failures of suppliers, utilities or networks), that obligation is suspended for the duration of the event to the extent affected.
14. Electronic communications
You consent to receive communications from us electronically (including via email, in‑product notifications and the website), and agree that such communications satisfy any legal requirements for written communications, to the extent permitted by law.
15. General
15.1 No waiver. A failure or delay to exercise a right or remedy does not waive it. A waiver must be in writing.
15.2 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time.
15.3 Severability. If any provision is invalid or unenforceable, it will be read down or severed to the extent necessary, and the remaining provisions will continue in full force.
15.4 Independent contractors. We and you are independent contracting parties. These Terms do not create a partnership, joint venture, employment or agency relationship.
15.5 Survival. Provisions which by their nature should survive termination do so, including those relating to intellectual property, confidentiality, disclaimers, liability, indemnities and governing law.
16. Governing law and jurisdiction
These Terms are governed by the laws of Victoria, Australia. The parties submit to the non‑exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

18. Definitions
ACL: Schedule 2 to the Competition and Consumer Act 2010 (Cth).
Community: an individual, group or organisation that lists profiles or Merchandise on the Services.
Member: a user who purchases or accesses Merchandise from a Community.
Merchandise: memberships, items, experiences or services offered by a Community.
PDS: the issuer’s Product Disclosure Statement for the Member Card.
Services: Frontcover’s website, applications and related services at frontcover.io.
Your Content: content you submit, post or display via the Services.
