About these Terms of Use
Frontcover Group Pty Ltd (ABN 20 671 187 321) (Frontcover, we, us or our) provides a loyalty platform through which participating merchants and brands may offer Cashback, Cash Rewards and other benefits to eligible members of participating member-based clubs, associations and communities. Frontcover also facilitates the issue of reloadable prepaid Member Cards to eligible Members through the card issuer and program described below.
The Services are made available through the Frontcover website, mobile application, Frontcover Connect API, third-party integrations and any other platforms or channels we make available from time to time (collectively, the Frontcover Platforms). These Cashback and Cash Rewards Terms of Use (Terms of Use) govern a Member's access to and use of the Services, Cashback, Cash Rewards, Account and Member Card-related features provided by Frontcover.
By creating or maintaining an Account, accepting a Member Card invitation, accessing a Frontcover Platform or using a Service, you agree to these Terms of Use. If you do not agree, do not use the Services. Separate terms apply to the Member Card itself, particular offers and the organisations that participate in a program.
The commercial and operational relationship between Frontcover and each participating club, association, company or community is governed by the Frontcover Member Card — Client Program Terms (Australia) and any applicable schedule. The Member Card is issued by iGoDirect Group Pty Ltd (ABN 17 110 897 320, AFSL 551294) via the True Rewards platform (Issuer). The Issuer's Product Disclosure Statement (PDS) and Card Terms and Conditions (Card T&Cs) govern the card product and prevail over these Terms of Use for card product matters, including card fees, limits, usage, liability, privacy and dispute handling. Frontcover is the program partner and distributor; it is not the card issuer and is not a party to the cardholder contract.
1. Definitions
Account means a registered Frontcover account.
Brand means a participating brand, sponsor or other organisation associated with an Offer or Cash Reward.
Cashback means a monetary-value benefit calculated after an eligible purchase and credited in accordance with the applicable Offer rules.
Cash Reward means a merchant-funded cash incentive provided upfront to an Eligible Member to encourage or enable an eligible purchase. A Cash Reward may be loaded to a Member Card or made available through another approved method and is generally restricted for use at one or more specified Merchants.
Client means a participating member-based club, association, company, community or other organisation that hosts a Frontcover program for its Members.
Eligible Member means a Member who satisfies the Client's eligibility rules and the Issuer's onboarding and verification requirements.
Issuer means iGoDirect Group Pty Ltd via the True Rewards platform, or any replacement issuer notified in accordance with applicable terms.
Member means an individual who belongs to, participates in or is invited by a Client.
Member Card means the reloadable prepaid Visa card issued by the Issuer through a Frontcover program.
Merchant means a participating retailer, venue or service provider.
Offer means an offer made available by a Merchant, Brand, Client or Frontcover.
Services means Frontcover's loyalty, program, onboarding, offer, communications, tracking, account, reporting, card-coordination and related services made available through the Frontcover Platforms.
2. Frontcover's Role and Program Participants
Frontcover provides technology and program services to Merchants, Brands and Clients. These services may include program configuration, member onboarding, dashboards, communications, Cashback and Cash Reward tooling, reporting, integrations and coordination with the Issuer. Frontcover may display, administer, calculate or facilitate Cashback and Cash Rewards in accordance with the applicable program and Offer rules.
Clients determine who is eligible to participate in their program and may invite or remove Members in accordance with their membership rules and applicable law. Merchants determine and fund Cash Rewards and may fund Cashback Offers where stated. Merchants and Brands are responsible for the accuracy and legality of the information, goods, services and promotional claims they provide.
Frontcover does not sell a Merchant's goods or services and is not a party to the purchase contract between a Member and a Merchant. Frontcover does not guarantee that a Client will maintain a program, that a Merchant or Brand will continue an Offer, or that the Issuer will approve or continue a Member Card.
3. Member Eligibility and Account Registration
You must be at least 18 years old, reside in Australia, have legal capacity to enter into these Terms of Use and be invited or otherwise approved by a participating Client, unless the applicable program or law permits otherwise. The Client remains responsible for its membership eligibility rules. Frontcover and the Issuer may apply additional eligibility, identity, security and compliance requirements.
You must provide accurate, current and complete information and keep it up to date. You may hold only one Account unless we approve otherwise. Each mobile number, email address, Member Card and linked payment card may be associated only with the permitted number of Accounts. You must not sell, transfer, share or allow another person to control your Account or Member Card.
4. Account and Member Card Security
You are responsible for keeping your login credentials and devices secure and for activity carried out through your Account, except to the extent caused by our breach of law or failure to take reasonable care. Tell us promptly at [email protected] if you suspect unauthorised access.
If we allow sign-in through a device passcode, biometrics or a third-party account, the relevant device or third-party provider performs the authentication. We do not receive or store your biometric template or third-party password. Anyone whose biometric data is registered on your device, or who can unlock or access your linked account, may be able to access Frontcover.
5. Limited Licence and Acceptable Use
Subject to these Terms of Use, we grant you a revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Frontcover Platforms and Services for your personal, non-commercial use.
You must not interfere with, copy, scrape, reverse engineer, misuse or obtain unauthorised access to a Frontcover Platform; use automated means to generate transactions, Cashback or Cash Rewards; manipulate tracking; create artificial purchases; impersonate another person; or use the Services unlawfully, fraudulently or dishonestly.
6. How Cashback Is Earned
To earn Cashback, you must satisfy the relevant Offer rules. This may require you to be signed in, activate an Offer, use your Member Card at an eligible Merchant, purchase through a specified Frontcover Platform or integration, or complete another specified action. A tracked or authorised transaction is not a guarantee that Cashback will be approved.
Cashback is generally calculated on the eligible net purchase amount after discounts and excluding taxes, delivery, fees, returns and other excluded amounts, unless the offer says otherwise. Rates, caps, eligibility periods and exclusions vary by Merchant and offer.
Enable required cookies and tracking permissions and do not block Frontcover's tracking technology.
Begin the purchase from the applicable Frontcover link and complete it in the same session, browser or app where required.
Do not use an unlisted coupon, referral code, price-comparison tool or other promotion unless the offer permits it.
Use an eligible payment method and comply with the Merchant's and Frontcover's offer terms.
Complete the purchase within the stated time and do not cancel, return, reverse or charge back the eligible purchase.
7. Tracking, Pending Cashback, Cash Rewards and Claims
Cashback may first appear as tracked or pending while Frontcover and the Merchant validate the eligible purchase. A Cash Reward load may also appear as pending while funding, Member eligibility, restrictions or other Offer requirements are confirmed. Validation timeframes are estimates and may vary. A Merchant may decline or reverse Cashback or a Cash Reward if the applicable requirements are not met.
Check your Account regularly. If a transaction is missing or incorrect, submit a claim with the requested evidence within 30 days of the purchase. We may be unable to investigate claims submitted later because Merchant data may no longer be available.
8. Excluded, Cancelled and Reversed Transactions
A purchase may be ineligible, declined or reversed where the offer terms are not satisfied; tracking fails for reasons outside our reasonable control; the order is cancelled, returned, refunded, exchanged or charged back; the transaction is duplicated, artificial, fraudulent or made for resale; the Merchant does not validate or pay the relevant commission; or the purchase is otherwise excluded in the displayed terms.
We may correct an error and make a reasonable adjustment to your Cashback or Cash Reward balance, including by reversing an amount credited or loaded incorrectly. We will not make an adjustment that would be unlawful or unfair under applicable law.
9. Merchant, Brand and Client Relationships
Clients, Merchants and Brands are independent organisations and are not Frontcover's agents. Your membership relationship is with the Client, and your purchase contract is with the relevant Merchant. Their respective terms govern membership, pricing, fulfilment, returns, cancellation, warranties, venues, goods, services and privacy practices. Contact the Client about membership matters, the Merchant about a purchase, and Frontcover about platform tracking, Cashback and Cash Rewards.
A Client may change or discontinue its program, and a Merchant or Brand may change or withdraw an Offer or cease participating. We may update displayed rates, program rules and exclusions. Changes apply prospectively unless necessary to correct an obvious error, prevent misuse or comply with law.
10. Cash Rewards and Promotions
A participating Merchant may fund a Cash Reward upfront to encourage an Eligible Member to make an eligible purchase. A Cash Reward is not Cashback and does not need to be calculated by reference to a completed purchase. The applicable Offer and program rules govern the funding amount, eligibility, permitted Merchants, spending conditions, expiry and any minimum purchase requirement.
A Cash Reward may be made available through a Frontcover Platform without being loaded to a Member Card. If it is loaded to a Member Card, it forms part of the available card balance, subject to the Issuer's PDS and Card T&Cs, and may be restricted for use at one or more specified Merchants, venues, categories or locations.
Participation may be capped, and a Cash Reward may be withheld, cancelled or reversed if it was obtained through self-referral, duplicate accounts, misleading conduct, prohibited paid traffic, gaming, error, fraud or abuse, or if the applicable spending conditions are not met.
Unless we expressly permit it, you must not bid on Frontcover-branded search terms, place a referral link on property you do not control, send unsolicited messages or use paid traffic to drive users directly to a referral link.
11. Member Card Issuance
A Member Card is available only to an Eligible Member of a Client that has enabled the Member Card program. Issuance is subject to the Issuer's approval, identity and verification requirements, PDS and Card T&Cs. The Issuer may refuse, suspend, block, replace or cancel a Member Card in accordance with those documents and applicable law.
Frontcover facilitates the application and issuance process, transmits required information to the Issuer, configures program rules and coordinates support. Frontcover does not hold Member Card balances, authorise or settle card transactions, conduct the Issuer's KYC or AML/CTF checks, or decide cardholder disputes under the Visa scheme.
12. Apple Wallet and Google Wallet
Member Cards are issued digitally and may be provisioned to Apple Wallet or Google Wallet on a compatible device. Apple and Google are independent third-party service providers and are not parties to these Terms of Use. Your use of Apple Wallet, Apple Pay, Google Wallet or Google Pay is subject to the applicable provider's terms, device requirements and security controls.
You must keep your device, passcode, biometric settings, Apple ID or Google Account and Member Card credentials secure. If your device is lost, stolen, replaced or accessible by another person, contact Frontcover and follow the Issuer's instructions promptly. Availability through Apple Wallet or Google Wallet is not guaranteed and may be affected by the device, operating system, country, wallet provider, Issuer or card-scheme requirements.
13. Member Card Loads and Top-Ups
A participating Merchant may fund a Cash Reward that Frontcover facilitates loading to a Member Card in accordance with the applicable Offer and program rules. Once loaded, the Cash Reward forms part of the available Member Card balance but may be subject to controls restricting its use to one or more specified Merchants, venues, categories or locations. A Cash Reward may also be delivered without being loaded to a Member Card where the Offer provides another approved method.
Members may also be permitted to make an instant top-up or enable an automatic top-up from a linked debit or credit card. Member-funded top-ups are separate from merchant-funded Cash Rewards. Available methods, thresholds, increments, limits and timing will be shown during onboarding or in the Frontcover Platform and remain subject to the Issuer's PDS and Card T&Cs.
Linked payment card information is handled using approved payment and issuing providers. Frontcover and the Client do not receive the full payment card number where tokenisation is used. A top-up may be delayed, rejected or reversed because of insufficient funds, verification, security checks, provider rules, technical failure, a chargeback or suspected misuse.
14. Using the Member Card
The Member Card may generally be used wherever the Issuer and Visa permit, subject to the available balance, card limits, prohibited uses and program controls. Cash Rewards and some other loaded funds may be restricted for use only at one or more specified Merchants, venues, categories or locations. A transaction outside an applicable restriction may be declined even if the Member Card displays a sufficient total balance. Merchant acceptance is not guaranteed.
Member Card transactions, balances, fees, limits, reversals, refunds, chargebacks, unauthorised transactions and cardholder complaints are governed by the Issuer's PDS and Card T&Cs. If these Terms of Use conflict with those documents on a card product matter, the Issuer's documents prevail.
15. Cashback and Cash Reward Balances and Adjustments
Your Account is Frontcover's record of approved Cashback and Cash Rewards, subject to corrections and adjustments permitted by these Terms of Use. Cashback and Cash Rewards are personal and cannot be sold or transferred. A Cash Reward loaded to a Member Card forms part of the available card balance but remains subject to its Offer restrictions and the Issuer's PDS and Card T&Cs.
If an adjustment makes a Cashback or Cash Reward balance negative, future Cashback or Cash Rewards may be applied against the negative amount where permitted by law and the applicable Offer rules. Frontcover may seek to recover a negative balance through a stored linked debit or credit card, subject to applicable law and any required notice or authorisation.
16. Accessing and Using Cashback and Cash Rewards
Approved Cashback may be credited to a Member Card, Frontcover account or another destination stated in the applicable Offer. Cash Rewards are merchant-funded upfront incentives and may be loaded to a Member Card or made available through another approved method. A Cash Reward loaded to a Member Card forms part of the available card balance and may be used only in accordance with the applicable Merchant restrictions, Offer rules, Issuer's PDS and Card T&Cs.
Cash Rewards are generally restricted to purchases at one or more specified Merchants and are not ordinarily available for unrestricted withdrawal, transfer or cash-out. If a program permits withdrawal or another redemption method for Cashback, the minimum amount, destination, limits, verification requirements and processing time will be displayed in the Frontcover Platform or Offer rules. Frontcover may delay or reject access while eligibility, identity, ownership, funding, fraud concerns or legal compliance are verified.
17. Expiry and Inactive Accounts
Cashback and Cash Rewards may expire in accordance with the applicable Offer or program rules, provided any notice required by law is given. Cash Rewards may have a purchase window or expiry date because they are provided upfront for use at specified Merchants.
We may close an inactive Account after 90 days or when the Member Card expires. Frontcover or the relevant Client will provide at least 30 days' notice before closure. Any treatment of a remaining Member Card balance is governed by the Issuer's PDS and Card T&Cs.
18. Suspension and Termination
You may close your Account by cancelling your membership through the website or making a request through support.
A Client may end your participation if you cease to be eligible under its membership or program rules. Frontcover may restrict, suspend or terminate an Account where it reasonably believes this is necessary to investigate or address fraud, abuse, security risk, a material breach, duplicate accounts, legal or regulatory requirements, an Issuer or card-scheme direction, or harm to Frontcover or a program participant.
Where reasonably practicable and lawful, we will give notice and an opportunity to respond. Account or program termination does not itself determine the status of a Member Card. Frontcover will coordinate with the Issuer where appropriate, but card suspension, cancellation and remaining card balances are governed by the PDS and Card T&Cs.
Valid approved Cashback and Cash Rewards will be handled under these Terms of Use and applicable law. Cashback or Cash Rewards connected with fraud, abuse, error or an ineligible transaction may be forfeited or reversed.
19. Changes to the Services and these Terms of Use
We may change, suspend or discontinue a Service or feature. We may also update these Terms of Use to reflect changes to the Services, law, security, business practices, Client programs, Merchant or Brand arrangements, or Issuer and card-scheme requirements.
For a material change that is adverse to you, we will give reasonable advance notice through the Frontcover Platform, by email or another appropriate channel, unless the change must take effect sooner for legal, security or fraud-prevention reasons. Continued use after the effective date constitutes acceptance. If you do not accept the change, you may stop using the Services and close your Account.
20. Privacy
Frontcover handles platform and program information in accordance with the Frontcover Privacy Policy.
A Client is responsible for having a lawful basis to provide Member information to Frontcover and the Issuer. The Issuer's privacy policy governs card issuance, identity verification, transaction and card-product information. Apple, Google, Merchants, Brands and other integrated service providers have their own privacy practices.
21. Communications and Marketing
Frontcover, the Client and, where authorised, participating Merchants or Brands may send service messages needed to operate your Account, membership program, Cashback, Cash Rewards and Member Card, including onboarding, transaction, balance, security and support notices.
Subject to applicable law and your choices, marketing may also be sent about Offers and promotions. You can unsubscribe from marketing using the method in the message or your Account settings, but you may still receive essential service and card communications.
22. Intellectual Property
Frontcover, its licensors and relevant rights holders own the Frontcover Platforms, Services, content, software, designs, trade marks and logos. Except for the limited licence in clause 5, no rights are granted to you.
You must not use Frontcover branding in advertising, domain names, metadata or paid-search keywords without our prior written consent. Client, Merchant, Brand, Issuer, Visa, Apple, Google and other third-party marks belong to their respective owners.
23. Community Standards
When communicating with us, Merchants or other users, you must not harass, threaten, discriminate, publish unlawful or sexually explicit material, impersonate others, encourage fraud or abuse, or interfere with the safe operation of the Services. We may moderate relevant content and take proportionate action for a breach.
24. Consumer Guarantees and Disclaimers
Nothing in these Terms of Use excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.
Subject to those non-excludable rights, the Frontcover Platforms and Services are provided on an “as available” basis. We do not promise uninterrupted or error-free operation, that every transaction will track, or that Merchant information will always be complete or current. We are not responsible for a Merchant's goods or services.
25. Liability
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable, or for loss caused by matters outside that party's reasonable control. This does not limit liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of a non-excludable statutory right, or any liability that cannot lawfully be limited.
Subject to the preceding paragraph, Frontcover's aggregate liability to you arising out of or in connection with the Services is limited to the greater of $500 and the total Cashback and Cash Rewards credited to you during the 12 months immediately before the event giving rise to the claim.
26. Indemnity
To the extent permitted by law, you are responsible for loss we reasonably incur because of your fraud, wilful misconduct, unlawful use of the Services or material breach of these Terms of Use. Your responsibility is reduced to the extent the loss was caused or contributed to by us.
27. Complaints and Disputes
Contact Frontcover at [email protected] about the Frontcover Platform, Cashback calculation, Cash Reward availability or restrictions, program communications or a Client, Merchant or Brand Offer. We will coordinate with the relevant participant where needed.
Contact the Issuer using the details in the PDS or Card T&Cs about Member Card fees, limits, balances, declined or unauthorised card transactions, chargebacks, card suspension, card privacy or other card product matters.
Nothing in this clause prevents you from using any court, tribunal, regulator or external dispute resolution process available by law.
28. Governing Law
These Terms of Use are governed by the laws of Victoria, Australia. You and Frontcover submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia. The governing law applicable to the Member Card is stated in the Issuer's PDS and Card T&Cs.
29. General
You may not assign or transfer your rights under these Terms of Use without our prior written consent. We may assign our rights and obligations as part of a business transfer or restructure, provided this does not materially reduce your rights.
If a provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary and the remaining provisions continue. A delay in enforcing a right is not a waiver. Headings are for convenience only.
These Terms of Use and applicable offer terms form the entire agreement about the Services, subject to rights that cannot be excluded by law.
